All services are delivered according to the scope outlined in proposals, quotations, contracts, invoices, or written agreements.

2. Client Responsibilities

• Provide accurate project requirements and business information.
• Submit required content, images, logos, and documents on time.
• Ensure ownership or legal rights for all materials supplied.
• Review and approve deliverables within a reasonable timeframe.
• Provide timely feedback to avoid project delays.

Any delays caused by missing information, approvals, or client communication may impact project timelines.

3. Payments & Billing

• All invoices must be paid according to the agreed payment schedule.
• Projects may require an advance payment before commencement.
• Monthly retainers are billed in advance.
• Late payments may result in suspension of services.
• Ownership of deliverables transfers only after full payment is received.

4. Refund Policy

Due to the nature of digital services, refunds are limited and subject to review.

• Completed work is non-refundable.
• Custom development projects are non-refundable once work begins.
• SEO and digital marketing retainers are non-refundable after the billing cycle starts.
• Approved design concepts and completed milestones cannot be refunded.
• Refund requests will be evaluated on a case-by-case basis.

5. Intellectual Property

Upon full payment, clients receive ownership rights to final approved deliverables created specifically for their project.

Algominds Digital retains ownership of:

• Internal frameworks and methodologies.
• Templates and reusable code libraries.
• Automation systems and proprietary tools.
• Internal workflows and business processes.

Clients are solely responsible for ensuring that content provided does not infringe upon third-party copyrights, trademarks, or intellectual property rights.

6. Third-Party Services

Projects may involve third-party platforms and software including:

• Google Services
• Meta Platforms
• WordPress Plugins
• Hosting Providers
• Domain Registrars
• Email Marketing Platforms
• CRM Systems
• AI & SaaS Tools

Third-party subscription fees, advertising budgets, hosting charges, plugin licenses, API fees, and software subscriptions remain the responsibility of the client unless otherwise specified.

7. SEO Disclaimer

Search engine rankings depend on numerous external factors beyond our control.

• No guaranteed rankings.
• No guaranteed traffic increases.
• No guaranteed leads or sales.
• No guaranteed revenue growth.
• Search engine algorithms can change at any time.

8. Advertising Disclaimer

Digital advertising performance varies based on industry, competition, targeting, budget, market conditions, and platform algorithms.

• No guarantee of specific ROAS.
• No guarantee of lead quantity.
• No guarantee of conversion rates.
• No guarantee of business growth.

9. Confidentiality

Both parties agree to maintain strict confidentiality regarding:

• Business strategies.
• Customer information.
• Marketing plans.
• Financial information.
• System credentials and access information.

Confidential information will not be disclosed except where legally required.

10. Revisions & Scope Changes

• Projects include revisions as specified in the proposal.
• Additional revisions may incur additional charges.
• Changes outside the agreed scope will be quoted separately.
• Approved work may require extra charges if modifications are requested later.

11. Website Maintenance & Hosting

Where maintenance or hosting services are provided:

• We strive to maintain uptime and security.
• We do not guarantee uninterrupted service.
• Third-party hosting issues are outside our control.
• Backups are only provided when explicitly included in the service package.

12. Limitation of Liability

To the maximum extent permitted by law, Algominds Digital shall not be liable for:

• Loss of profits or revenue.
• Business interruption.
• Loss of customers.
• Loss of data.
• Indirect or consequential damages.
• Third-party service failures.

Our total liability shall not exceed the amount paid by the client during the thirty (30) days immediately preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Algominds Digital, its directors, employees, contractors, and affiliates from any claims, liabilities, damages, losses, or legal expenses arising from:

• Your use of our services.
• Violation of these Terms.
• Content supplied by you.
• Violation of third-party rights.

14. Non-Solicitation

Clients agree not to directly hire, solicit, recruit, or engage any employee, contractor, freelancer, or consultant of Algominds Digital during the term of engagement and for a period of twelve (12) months thereafter without written consent.

15. Force Majeure

Algominds Digital shall not be responsible for delays or failures resulting from circumstances beyond reasonable control, including:

• Natural disasters.
• Government restrictions.
• Internet outages.
• Cyberattacks.
• Labor disputes.
• Power failures.

16. Termination

Either party may terminate services through written notice.

• All completed work remains payable.
• Outstanding invoices become immediately due.
• Access to services may be revoked upon termination.

17. Privacy & Data Protection

We respect your privacy and handle information according to applicable privacy and data protection laws.

18. Governing Law

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of India.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Uttarakhand, India.

Algominds Digital reserves the right to modify these Terms & Conditions at any time. Updated versions will be published on our website and become effective immediately upon publication.
